Terms of Purchase

These Terms of Purchase apply to all orders placed with Agrinovo ("we," "us," or "our") for IoT sensors, controllers, and related products. By placing an order, you ("customer" or "buyer") agree to the following terms and conditions.

1. Lead Time & Delivery

Production Lead Time

• Sensors: All Agrinovo sensors are manufactured to order. Standard production lead time is approximately 7 business days.
• Controllers & Accessories: Genesis and Exodus controllers and other essentials are typically in stock and available for immediate dispatch. For large orders requiring custom production, lead time is 30–60 business days.

Shipping & Delivery

• Shipping is handled via DHL Express worldwide. Alternative shipping methods may be available upon request.
• Estimated delivery time is 5–7 business days from dispatch, depending on destination.
• Actual delivery times may vary due to customs processing, local logistics, and other factors beyond our control.
• Tracking numbers are provided for all shipments.

2. Warranty

Warranty Periods

• Genesis & Exodus Controllers: 24 months (2 years) from date of purchase.
• Sensors: 12 months (1 year) from date of purchase.
• Ion-Selective Electrodes: No warranty is provided, except in cases where the product arrives faulty or damaged.

Warranty Coverage

The warranty covers manufacturing defects and component failures under normal and reasonable use conditions.

Warranty Exclusions

• Controllers: Water damage is not covered under warranty.
• Sensors: Connectors and connector-related damage are not covered.
• Damage resulting from misuse, unauthorized modifications, or negligence.

Warranty Claim Process

1. Contact our support team to report the issue.
2. Our team will attempt to resolve the issue remotely.
3. If remote resolution is not possible, Agrinovo may request the product be returned. Shipping costs to our facility are borne by the customer.
4. If the issue is determined to be a manufacturing or quality control defect, Agrinovo will reimburse the customer's return shipping costs and send a replacement unit at no additional charge.

Agrinovo reserves the right to repair or replace defective units at its discretion, depending on the nature of the issue.

3. Technical Datasheets

Technical datasheets are available for download on select product pages. For products where datasheets are not publicly available, customers may request them by contacting our team. Availability is subject to review.

4. Country of Origin

Agrinovo products are manufactured in China and assembled in Israel.

5. Shipping & Customs

Shipping Costs

Shipping costs are calculated per order based on the weight and dimensions of the packaging. A shipping quote will be provided as part of your order confirmation.

Customs, Duties & Taxes

All import duties, customs fees, and taxes are the sole responsibility of the customer. Agrinovo is not responsible for any additional charges imposed by the customer's country of import.

Shipment Insurance

All shipments are insured by Agrinovo at the value of the goods. In the event of loss or damage during transit, Agrinovo will arrange a replacement product or issue a full refund.

6. Payment Terms

Payment Method

Payment is accepted via bank transfer (wire transfer) unless otherwise agreed upon in writing.

Payment Schedule

• Standard orders (under $2,000): Full payment is required before goods are dispatched.
• Large orders (over $2,000): A 30% deposit is required before production begins. The remaining 70% is due before shipping.

Credit Terms

Credit terms may be available for repeat customers and large orders on a case-by-case basis. Please contact us to discuss.

Currency

International orders are invoiced in USD. Domestic orders (Israel) are invoiced in ILS.

There is no minimum order quantity (MOQ) or minimum order value.

7. Returns & Cancellations

Returns

• Returns are accepted only for products that arrive faulty or defective.
• Return requests must be made within 14 days of delivery.
• Products must be returned in their original packaging.
• Return shipping costs are borne by the customer.
• Custom or made-to-order products are not eligible for return.

Cancellations

• Orders with a 30% deposit: If the customer cancels the order, the 30% deposit is non-refundable.
• Orders without a deposit: Orders may be cancelled at any time before shipment without penalty.

8. Limitation of Liability

Agrinovo products are designed for monitoring and control purposes in agriculture and aquaculture environments. However, all decisions made based on data from Agrinovo devices and sensors are the sole responsibility of the customer.

9. Force Majeure

Agrinovo shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, pandemics, war, government actions, supply chain disruptions, transportation delays, or other unforeseen circumstances. In such events, delivery timelines will be extended accordingly.

10. Quotation Validity

All quotations provided by Agrinovo are valid for 30 days from the date of issue. After this period, pricing and availability are subject to change.

11. Pricing & VAT

All prices quoted are exclusive of VAT (Value Added Tax). For domestic customers in Israel where VAT applies, VAT will be added to the invoice at the prevailing rate.

12. Governing Law & Disputes

These terms shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Beer Sheva, Israel.
